Quick answer
How do I complete company registration in Delhi?
Company registration in Delhi is done online on the MCA portal using SPICe+, a single web form that reserves the name, incorporates the company, allots DIN, PAN and TAN, and links EPFO, ESIC and a bank account. Directors need a digital signature. MCA processing usually takes days, not weeks, once documents are clean.
- One online form: SPICe+ on the MCA portal
- No office visit to ROC Delhi is needed
- PAN and TAN come with the incorporation certificate
- Six structures to choose from, each with different compliance
- Government fee depends on capital and Delhi stamp duty
What is company registration in Delhi and who needs it?
Company registration is the legal act of creating a business entity that exists separately from its owners, with its own PAN, bank account and liability. In Delhi, anyone planning to raise investment, sign large contracts, hire staff on payroll or limit personal risk should think about registering a company or LLP early.
A trader in Chandni Chowk can run for years as a proprietor. A software start-up in Netaji Subhash Place that wants angel money usually cannot, because investors buy shares and shares exist only in a company. The question is not whether to register, but which form of registration matches the size, risk and funding plan of the business.
Registration also changes how you are taxed and how much paperwork you file each year. A company files annual returns with the Registrar of Companies, has its accounts audited and must hold board meetings. A proprietorship files only an income tax return and, if registered, GST returns. Choose with those yearly costs in mind, not just the one-time setup fee.
Which structure should you choose: Pvt Ltd, OPC, LLP, partnership, proprietorship or Section 8?
For most funded or fast-growing businesses the private limited company is the default; for professional practices and family ventures an LLP often costs less to run; a single founder who wants limited liability can look at an OPC. The table compares the main differences, and each structure has its own detailed page:
- Private limited company registration: shares, directors and investor-ready.
- One person company registration: a company with one owner and a nominee.
- LLP registration: partners with limited liability and lighter rules.
- Partnership firm registration: a deed between partners, registered with the Delhi Registrar of Firms.
- Proprietorship registration: the owner and the business are one person in law.
- Section 8 company registration: a not-for-profit company for charitable objects.
| Structure | Registered with | Owner liability | Can raise equity? | Annual compliance load |
|---|---|---|---|---|
| Private limited company | MCA through SPICe+ | Limited to share capital | Yes, by issuing shares | High: audit, AOC-4, MGT-7, board meetings |
| One person company (OPC) | MCA through SPICe+ | Limited | Not in OPC form | Medium to high |
| LLP | MCA through FiLLiP | Limited to agreed contribution | No shares; partners contribute | Medium: Form 8 and Form 11 |
| Partnership firm | Registrar of Firms, Delhi (district SDM offices) | Unlimited, shared by partners | No | Low: income tax and GST only |
| Sole proprietorship | No single registration; GST, Udyam and others | Unlimited, personal | No | Lowest |
| Section 8 company | MCA through SPICe+ | Limited | Profits cannot be paid out as dividends | High, similar to a company |
Compliance load is a broad comparison. The Private limited vs LLP vs OPC guide goes deeper.

How does company incorporation work through SPICe+?
Company incorporation in India runs through SPICe+, an integrated MCA web form with two parts: Part A reserves the name and Part B incorporates the company, allots DIN to directors and issues PAN and TAN, all paid through one challan. Three linked forms travel with it: e-MoA, e-AoA and AGILE-PRO-S.
According to the MCA FAQ on AGILE-PRO-S, EPFO and ESIC registration and a bank account are mandatory items in that linked form, while GSTIN and Shops and Establishment registration are optional. So a single filing can leave you with a company, its tax numbers and a working bank account.
- 1
Get digital signatures
Every proposed director and subscriber needs a class 3 digital signature certificate (DSC) to sign the forms online.
- 2
Reserve the name (SPICe+ Part A)
Propose names that are not identical to existing companies or trademarks. You can file Part A alone first or together with Part B.
- 3
Draft the MoA and AoA
The memorandum states the objects; the articles set internal rules. Both are filed as e-MoA and e-AoA.
- 4
File SPICe+ Part B and AGILE-PRO-S
Enter directors, subscribers, capital and registered office, attach proofs, and choose EPFO, ESIC, bank and optional GSTIN in AGILE-PRO-S.
- 5
Pay the fee and get the certificate
After MCA approval you receive the certificate of incorporation with the corporate identity number (CIN), PAN and TAN.
What documents are needed for company registration online?
For company registration online you upload identity and address proof of each director and subscriber, proof of the registered office, and the signed charter documents. Clear scans in the right format avoid most MCA resubmission requests. A full checklist sits in our documents guide.
| Who or what | Documents usually asked for |
|---|---|
| Each Indian director or subscriber | PAN, Aadhaar or other identity proof, recent bank statement or utility bill, photograph, mobile and email |
| Foreign national or NRI director | Passport, overseas address proof (attested as MCA requires), photograph |
| Registered office in Delhi | Latest electricity or water bill, rent agreement or ownership proof, owner's no-objection letter |
| Company | Proposed names, main objects, authorised and paid-up capital, shareholding split |
Exact attestation rules change from time to time; we confirm the list for your case before filing.
How much does company registration in Delhi cost?
The government cost of company registration in Delhi is small for start-up capital: secondary sources report a ₹0 MCA filing fee when authorised capital is ₹15 lakh or less, plus Delhi stamp duty, which a published calculator puts at about ₹360 for ₹1 lakh capital. Digital signatures and professional fees are extra.
We mark these figures as approximate because the MCA fee rule could not be confirmed on an official page during our October 2026 check, and ranking sites quote conflicting totals for the same package (₹9,663 on one, ₹10,000 on another). Your filing professional will show the exact challan on the MCA portal before payment.
| Item | Amount | Status |
|---|---|---|
| MCA fee, authorised capital up to ₹15 lakh | ₹0 (reported) | Secondary source, verify at filing |
| Name reservation, if filed separately | About ₹1,000 (reported) | Secondary source |
| Delhi stamp duty at ₹1 lakh capital | About ₹360 | Calculator estimate |
| Digital signature per director | Charged by the certifying agency | Varies |
| Professional fee | Online platforms advertise packages from about ₹999 plus government fees | Market range |

How long does company registration take in Delhi?
Most ranking guides quote about 7 to 10 working days from start to certificate for a company in Delhi, and that matches what we see when names are distinctive and documents are clean. Name objections, unclear office proofs or DSC delays are what stretch the timeline.
Think of the time in three blocks. Digital signatures take a day or two once identity checks are done. Drafting and filing SPICe+ takes another couple of days. MCA processing then depends on the queue and on whether the reviewing officer asks for a correction, which resets part of the clock. Choosing two or three backup names before you start is the simplest way to avoid a week of back and forth.
What does ROC Delhi expect after incorporation?
Once incorporated, a company with its registered office in Delhi reports to the Registrar of Companies, NCT of Delhi, for its whole life: annual accounts and returns, director changes, share allotments and charges are all filed there through the MCA portal. Missing these filings triggers per-day late fees.
- Annual filings: AOC-4 (financial statements) within 30 days of the AGM and MGT-7 (annual return) within 60 days of the AGM, as listed in published compliance calendars; late fees are reported at ₹100 per day per form.
- Director KYC: under G.S.R. 943(E), effective 31 March 2026, DIR-3 KYC is now filed once every three financial years by 30 June, with an update whenever mobile, email or address changes (ICAI note).
- Tax registrations: GST becomes mandatory once turnover crosses the threshold; see GST registration.
- Optional recognition: eligible companies can seek DPIIT recognition, which since February 2026 is open to entities with turnover below ₹200 crore.
Our ROC compliance service covers the full annual calendar.

Frequently asked questions
Can I do company registration online without visiting the ROC office?
Yes. The whole process is online. Directors sign SPICe+ with digital signatures, documents are uploaded as scans, and the certificate of incorporation arrives by email from MCA. Nobody needs to visit the ROC Delhi office for a normal incorporation. You may still meet your filing professional to check original documents.
What is the difference between company registration and company incorporation?
In everyday use they mean the same thing. Incorporation is the legal term for the moment MCA issues the certificate and the company comes into existence. Registration is the broader word people search for, and it often also covers related steps such as PAN, TAN, GST and bank account opening.
Is the MCA fee really zero for small companies?
Several secondary sources report a ₹0 MCA fee for companies with authorised capital up to ₹15 lakh. We could not confirm it on an official MCA page in October 2026, so treat it as likely but verify on the fee calculation shown at filing. Delhi stamp duty and DSC costs are payable in any case.
Which structure suits a start-up planning to raise funds?
A private limited company. Investors take equity as shares, and only a company can issue them. LLPs and partnerships cannot offer shares, and an OPC has a single member. Startup India recognition is open to private limited companies, partnerships and LLPs, so the structure also affects which benefits you can claim.
Can I use my home address in Delhi as the registered office?
Yes, a residential address can be the registered office if you can show proof such as a recent utility bill and the owner's no-objection letter. Many Delhi founders start from home and shift the registered office later by filing a change with ROC Delhi when they take commercial space.
Do I get PAN and TAN separately after incorporation?
No. SPICe+ applies for the company's PAN and TAN as part of the same filing, and they are issued with the certificate of incorporation. This saves a separate application to the Income Tax Department, which was the norm before the integrated form existed.
Can an NRI or foreign national start a company in Delhi?
Yes, foreign nationals and NRIs can be directors and shareholders of an Indian private limited company, subject to identity and address attestation rules and foreign investment conditions for the sector. Greenwolf Advisors, one of the listed firms, focuses on cross-border founders and structuring.
What happens if I do not file annual returns after registering?
Late fees accrue for each day a form is overdue, reported at ₹100 per day per form for AOC-4 and MGT-7. Long default can lead to directors being disqualified and the company being struck off. If you will not run the company, closing it properly costs less than ignoring it.
Does a new company need GST registration immediately?
Not always. GST is compulsory when aggregate turnover crosses ₹40 lakh for goods or ₹20 lakh for services in Delhi, and some businesses must register regardless of turnover. You can tick GSTIN in AGILE-PRO-S at incorporation if you already need it, or apply later on the GST portal.
How do I check if a company name is available?
Search the MCA company and LLP name lists and the trademark registry before proposing names. A name that matches or closely resembles an existing company or registered trademark is likely to be rejected. Filing two or three options in SPICe+ Part A reduces the chance of a resubmission.
