Partnership Firm Registration in Delhi

Partnership firm registration in Delhi has two layers: a written partnership deed that the partners sign, and an application to the Registrar of Firms, whose work in Delhi has been handled at district Sub-Divisional Magistrate (SDM) headquarters offices since 2010, according to a published Delhi guide. This page explains when a partnership makes sense, what goes into the deed, the registration steps, and the PAN, bank and GST work that follows, as of October 2026.

Quick answer

How is partnership firm registration done in Delhi?

Partnership firm registration in Delhi starts with a partnership deed on stamp paper signed by all partners. The firm then applies to the Registrar of Firms, now handled at the district SDM headquarters office for the firm's address, with the deed, partner IDs and address proof. After that the firm gets its own PAN and bank account.

  • The deed is the firm's founding document
  • Registrar of Firms work sits with district SDM offices
  • The firm gets its own PAN, but partners stay personally liable
  • GST and Udyam are separate registrations

What is a partnership firm and when does it make sense?

A partnership firm is two or more people carrying on a business together and sharing profits under an agreement, called the deed. It is quick and cheap to start, has light annual compliance, and suits family businesses, traders and small service ventures in Delhi where partners know and trust each other.

The catch is liability. A partnership firm is not a separate legal person in the way a company is, so each partner can be held personally responsible for the firm's debts, including debts created by another partner. That is acceptable for a two-brother wholesale shop in Sadar Bazar; it is a bigger risk for a business that borrows heavily or signs large supply contracts.

If limited liability matters, look at LLP registration, which keeps the partnership style but protects personal assets. The company registration overview compares every structure in one table.

Is partnership firm registration compulsory?

A partnership can legally exist on the strength of a signed deed alone, but registering it with the Registrar of Firms is strongly advised. Unregistered firms face limits when they try to enforce contracts in court, and some banks and government departments prefer or ask for the registration certificate.

In practice, most Delhi partners register at the start, while all partners are present and agree on terms. Registering later is possible, but it needs every partner's signature again, which is harder once a dispute begins.

The consequences of non-registration come from the Indian Partnership Act, 1932. We did not find an official Delhi page restating them, so take advice on your facts.

What should a partnership deed contain?

A good deed names the firm and partners, states the business and its place, and fixes capital, profit sharing, salaries, interest, duties, banking powers, and what happens when a partner joins, retires or dies. Vague deeds are the main source of later disputes, so write the hard clauses now.

Clauses to cover in a Delhi partnership deed
ClauseWhat to decide
Name and place of businessFirm name and the Delhi address used for registration and GST
Partners and capitalEach partner's details and the amount or assets brought in
Profit and loss ratioFixed percentages, and whether they change with capital
Remuneration and interestPartner salaries and interest on capital, if any
Bank operationWho signs cheques and approves payments, singly or jointly
Admission, retirement and deathHow a partner exits and how their share is valued
Dispute resolutionArbitration or other method before going to court

The deed is executed on non-judicial stamp paper or e-stamp. We did not find a sourced Delhi stamp duty schedule for partnership deeds, so your professional confirms the amount at drafting.

Partnership firm registration in Delhi: step by step

Partnership firm registration in Delhi takes about six steps, from deed to bank account. The Registrar of Firms stage is handled at the district SDM headquarters office covering the firm's principal place of business, per a published Delhi guide, so confirm the correct district office before submitting.

  1. 1

Agree terms and draft the deed

Settle capital, profit share and powers, then draft the deed and get it on stamp paper or e-stamp.

  2. 2

    Sign and notarise

All partners sign the deed in front of witnesses; many offices also expect notarisation.

  3. 3

    Prepare the registration application

Fill the application (often called Form 1) with firm name, place of business, partners' names, addresses and joining dates.

  4. 4

    Submit to the district office

File the application, a certified copy of the deed, partner IDs and office address proof with the Registrar of Firms at the district SDM headquarters, and pay the fee.

  5. 5

    Collect the registration certificate

After scrutiny, the firm is entered in the register and a certificate is issued.

  6. 6

Apply for PAN and open the bank account

Use the deed (and certificate) to get the firm's PAN, then open a current account in the firm's name.

What does partnership firm registration cost in Delhi?

What registrations does a partnership firm need after formation?

After registration, a Delhi partnership firm usually needs a PAN, a current account, GST if it crosses the threshold, and optionally Udyam. It files an income tax return every year as a firm, separately from the partners' own returns.

  • GST: compulsory once aggregate turnover crosses ₹40 lakh for goods (₹20 lakh for services, as reported) in Delhi. The deed and PAN act as constitution proof in the application (CBIC registration FAQ). See GST registration.
  • Udyam: free on the official portal and useful for MSME benefits; read Udyam registration.
  • Income tax: the firm files its own return; partners report their share and remuneration in theirs.
  • Startup India: registered partnerships are an eligible entity type for DPIIT recognition (Startup India).

How is a partnership different from an LLP or company?

A partnership is cheapest to start and run but leaves partners personally liable; an LLP adds limited liability with modest annual filings; a private limited company adds shares and investor access with the heaviest compliance. Many Delhi firms start as partnerships and convert to an LLP as they grow.

Frequently asked questions

Where do I register a partnership firm in Delhi?

With the Registrar of Firms, whose work in Delhi has been decentralised to the district SDM headquarters offices since 2010, according to a published Delhi guide. You apply at the office covering the firm's principal place of business. Check the district office's current process before going.

Is a partnership firm a separate legal entity?

No. A partnership firm is a collective name for its partners. It has its own PAN and is taxed as a firm, but it does not own liability separately from the partners, who remain personally responsible for its debts. An LLP or company is a separate legal entity.

How many partners can a partnership firm have?

At least two. The law sets an upper limit on partners for a firm, above which the business must be a company or LLP. Most Delhi partnerships have two to five partners, well under that ceiling. Confirm the current limit with your professional if you plan a large firm.

Can a partnership firm be registered online in Delhi?

Parts of the work, such as e-stamping the deed and the firm's PAN, are online. The Registrar of Firms application is made to the district office, and the process there may include physical submission or verification. Ask the district office or your professional for the current method.

Do I need a partnership deed to open a bank account?

Yes, banks ask for the deed and the firm's PAN to open a current account, and many also ask for the registration certificate or a GST certificate as proof of business. Keep certified copies of the deed ready for this.

Is an audit required for a partnership firm?

There is no company-style statutory audit for a partnership. A tax audit applies only if the firm's turnover or receipts cross the limits in income tax law. See our tax audit page, which explains this CA-reserved work.

Can a partnership firm be converted into a company or LLP?

Yes. Conversion to an LLP is filed with MCA and is common for growing firms. Conversion into a company follows company law procedure. Either way, GST, bank accounts and licences must be updated in the new entity's name.

Can a partner be added or removed later?

Yes. Draft a supplementary deed or retirement deed, stamp it, and inform the Registrar of Firms of the change so the register stays accurate. Update the bank mandate and GST registration at the same time.

Does a partnership need Udyam registration?

Udyam is optional but useful. Registration is free on the official portal, needs PAN and GSTIN where applicable, and lets eligible firms claim the MSME benefits offered by banks and government schemes. Micro status applies up to ₹2.5 crore investment and ₹10 crore turnover from 1 April 2025.
