Quick answer

How do I get shop and establishment registration in Delhi?

Shop and establishment registration Delhi route depends on your setup. A new company can tick the Shops and Establishment option in AGILE-PRO-S, the form linked to SPICe+ incorporation on the MCA portal. Existing shops, offices, proprietors, partnership firms and LLPs apply separately to the Delhi government's labour authorities online.

  • Covers shops, offices and commercial establishments
  • New companies: optional box in AGILE-PRO-S at incorporation
  • Others apply separately to the Delhi labour authorities
  • Keep the address identical on GST and other records

Shop and establishment registration Delhi: what it is and who needs it

It is a registration under Delhi's shops and establishments law that records your workplace, its owner and its staff with the state labour authorities. It applies to commercial premises such as shops, offices, showrooms, restaurants and service businesses, rather than to factories, which follow separate factory laws.

Typical Delhi applicants include:

  • retail shops and showrooms in market streets and malls;
  • offices of companies, LLPs, partnership firms and consultants;
  • restaurants, cafés, salons, clinics and coaching centres;
  • e-commerce businesses with an office or warehouse that employs staff;
  • start-ups moving from a home address into a commercial space.

Banks, landlords and some government departments ask for this certificate as proof that a business genuinely operates from a commercial address. Even where it is not strictly demanded, having it avoids questions at inspections.

Can a new company get it through AGILE-PRO-S?

Yes. When you incorporate a company through SPICe+, the linked AGILE-PRO-S form lets you apply for several registrations at once. Per the MCA, EPFO, ESIC and a bank account are mandatory in AGILE-PRO-S, while GSTIN and Shops and Establishment registration are optional choices you can tick.

Choosing it at incorporation saves a separate application later, but it only makes sense if the company already has its Delhi office address settled. If you are still using a temporary address, register later once you move into the real premises.

How do existing businesses and non-companies apply?

Proprietorships, partnership firms, LLPs and companies that skipped the AGILE-PRO-S option apply directly to the Delhi government's labour department through its online system. The application is in the name of the employer, for the specific premises.

This route also applies when:

  • a company opens a second shop or office in Delhi;
  • a business moves to a new address;
  • an LLP registers, since LLPs incorporate through FiLLiP rather than SPICe+;
  • a proprietor or partnership starts trading from a commercial premises.

For new businesses, sort out the legal structure first. Our company registration in Delhi page compares the routes.

What documents are needed?

You need proof of the employer's identity, proof of the premises, and basic details of the business and its employees. The Delhi online form shows the final list; keep these ready so the application goes through in one sitting.

How to apply: step by step

Here is the usual sequence for a business that is not using the AGILE-PRO-S option.

  1. 1

    Confirm the premises

    Settle the rent agreement and put up the name board before applying.

  2. 2

    Open the Delhi labour department portal

    Use the official Delhi government site, not a private page offering paid certificates.

  3. 3

    Fill employer and premises details

    Enter the business name, address, activity, start date and employee numbers.

  4. 4

    Upload documents

    Attach identity, premises proof and entity papers as asked.

  5. 5

    Submit and download

    Submit the form, answer any query, and download the registration certificate.

What does it cost and how long does it take?

Any government fee for the Delhi registration is shown on the official form, and we do not quote it here because we could not confirm a current official fee schedule for this update. For new companies, ticking the box in AGILE-PRO-S folds the request into the incorporation filing.

Timing depends on whether the application is complete and the details match your other records. Mismatched addresses between GST, the rent agreement and this application cause most delays. Professional charges for preparing the form are separate, and through CA in Delhi you receive a fixed written figure before filing.

After registration: what to keep up

Display the certificate at the premises and keep it with your statutory records. Update it when anything material changes, such as the address, the name of the business, the owner or the number of employees.

  • Address change: update this registration and your GST registration together.
  • Growth in staff: more employees can bring in EPF and ESI obligations, which a payroll service handles; see accounting and payroll services.
  • MSME status: a service business with a Delhi office can also take free Udyam registration.
  • Closure: if you shut the premises, close the registration as well so records stay clean.

Delhi specifics: markets, office towers and mixed-use buildings

Delhi's commercial geography shapes how this registration works in practice.

  • Market streets. Traders in Karol Bagh, Lajpat Nagar, Chandni Chowk and Kamla Nagar usually run from rented shops. A rent agreement in the trader's or firm's own name is the first thing to fix.
  • District centres and office towers. Netaji Subhash Place, Nehru Place and Janakpuri District Centre host thousands of small offices. Each office is a separate establishment, even when several companies share a floor. Businesses near our office can read the CA in Netaji Subhash Place page.
  • Mixed-use addresses. Many Delhi businesses run from the ground floor of a residential building. Check that the premises can be used commercially before applying, because the address will be on record.

Three mistakes we see often

  1. Applying before the rent agreement is signed, then having to amend the address.
  2. Registering in the name of a relative who owns the shop rather than the business that actually trades there.
  3. Forgetting to register a newly opened branch, so one outlet has a certificate and the next does not.

How CA in Delhi helps with shop and establishment registration

We check whether to use the AGILE-PRO-S option or a separate Delhi application, prepare the documents and keep the address consistent across GST, bank and labour records. Moneymji, a business registration and compliance firm at Pearls Business Park in Netaji Subhash Place, handles company, LLP and firm registrations where this step usually comes up. All three listed firms are on our CA firms in Delhi page.

Frequently asked questions

Is shop and establishment registration mandatory in Delhi?

Delhi's shops and establishments law covers shops, offices and other commercial establishments, so most businesses operating from commercial premises in Delhi should register. The exact coverage and exemptions are set by the Delhi government; check the labour department's current rules for your type of premises and staff size.

Can I get shop and establishment registration while incorporating a company?

Yes. SPICe+ links to the AGILE-PRO-S form, where Shops and Establishment registration is an optional item you can select at the time of incorporation, according to the MCA. Choose it only if the company's Delhi premises are final.

Does an LLP get it through AGILE-PRO-S?

No. AGILE-PRO-S is linked to SPICe+, which is the company incorporation form. LLPs incorporate through a different MCA form, so an LLP applies for shop and establishment registration separately with the Delhi labour authorities once its office is set up.

Do I need this registration if I work from home?

A freelancer or consultant working alone from home is usually not running a commercial establishment in the ordinary sense. Once you rent an office or shop, or employ staff at a business premises, check the registration requirement. Ask before you apply from a residential address.

Is shop and establishment registration different from a trade licence?

Yes. The shop and establishment registration is under labour law and is handled by the labour authorities. A trade or health licence, where required for certain trades, comes from the municipal body. A restaurant, for example, may need both, plus FSSAI.

Do I need a separate registration for each branch?

Generally yes. The registration is for an establishment at a specific address, so a second shop or office in Delhi is a separate establishment. Keep a list of all premises and their registrations so nothing is missed when you expand.

Does it replace GST registration?

No. GST registration is a tax registration and is needed when your turnover or type of supply requires it. Shop and establishment registration is a labour-law record of your premises. Banks often ask for both when you open a current account, and the address on each should match.

What if I move my shop to a new address?

Update the registration for the new premises, and change the address on GST, Udyam, bank and FSSAI records at the same time. A mismatch between these records is a common reason for queries from banks and tax officers.

Whose name should the registration be in?

Register in the name of the legal employer that runs the premises: the proprietor for a sole proprietorship, the firm for a partnership, and the LLP or company for those entities. Use the same business name that appears on GST and the bank account, and make sure the person signing has authority to do so.

Can a restaurant or café skip this if it has FSSAI?

No. FSSAI covers food safety, while shop and establishment registration covers the workplace and staff. A Delhi restaurant typically needs both. Our FSSAI registration page explains the food side.
