Quick answer
What is one person company registration?
One person company registration creates a company owned by a single individual, who is the only member, with a nominee named to take over if the owner dies or becomes incapable. It is filed online through SPICe+ on the MCA portal and gives the founder limited liability and a separate legal identity.
- One member plus one nominee, both individuals
- Incorporated through SPICe+, same as a Pvt Ltd
- Liability limited to the member's investment
- Cannot issue shares to outside investors while it stays an OPC
Who should choose one person company registration?
An OPC fits a solo consultant, freelancer, trader or small manufacturer in Delhi who wants to separate personal assets from business risk and present a company name to clients, but has no partner and no plan to raise equity soon. If you expect investors in the next year or two, a private limited company avoids a later conversion.
Consider two Delhi examples. A chartered engineer in Rohini who sells design services to large firms may find those clients more comfortable signing with a company than with an individual. A garment trader in Karol Bagh with one shop and family staff probably gains little from an OPC and may be better served as a proprietor with GST and Udyam registration.
The owner of an OPC also takes on company-style paperwork: audited accounts, annual filings with ROC Delhi and director KYC. Weigh that recurring work against the comfort of limited liability.
What is the role of a nominee in an OPC?
The nominee is the person who would become the member of the OPC if the sole owner dies or can no longer contract. The founder names this person in the incorporation form, and the nominee signs a written consent that is filed with SPICe+. The nominee has no ownership or management role while the founder is active.
Most Delhi founders choose a spouse, parent or adult sibling. The nominee can be changed later by filing the change with the Registrar, and the nominee can also withdraw consent, in which case a new nominee has to be named. Keep the nominee's PAN, Aadhaar and address proof ready, because MCA checks them in the same way it checks the director's documents.

OPC registration documents checklist
OPC registration needs KYC for the sole member and director, KYC and written consent from the nominee, and proof of the registered office in Delhi. Since one person signs almost everything, make sure that person's digital signature is active before filing.
| Person or item | What to keep ready |
|---|---|
| Sole member and director | PAN, Aadhaar or passport, recent bank statement or utility bill, photograph, DSC |
| Nominee | PAN, Aadhaar or other identity proof, address proof, signed consent |
| Second director, if any | Same KYC as the member; an OPC may have more than one director |
| Registered office | Electricity or water bill, rent agreement or ownership papers, owner's NOC |
| Company details | Proposed name ending in (OPC) Private Limited, objects, authorised capital |
We share an exact checklist after a short call, because attestation needs differ for NRI members.
How does the OPC filing work in SPICe+?
An OPC is incorporated through the same integrated MCA form as other companies: SPICe+ Part A for the name, Part B for incorporation with DIN, PAN and TAN, and the linked e-MoA, e-AoA and AGILE-PRO-S. The difference lies in the details you enter, chiefly the single subscriber and the nominee.
- 1
Obtain the founder's DSC
The sole member needs a digital signature first; add DSCs for any other director.
- 2
Pick and reserve a name
Choose a name that is not close to existing companies or trademarks. It must carry (OPC) Private Limited at the end.
- 3
Enter member and nominee details
In SPICe+ Part B, record the sole subscriber, the nominee and the nominee's consent, plus capital and office address.
- 4
Complete AGILE-PRO-S
Select EPFO, ESIC and a bank, which the MCA FAQ marks mandatory; add GSTIN or Shops and Establishment if you need them now.
- 5
Certify, pay and submit
A practising professional certifies the forms, you pay the challan, and MCA issues the certificate with CIN, PAN and TAN after approval.
What does one person company registration cost?
Government charges for an OPC follow the small-company fee rules: secondary sources report a ₹0 MCA fee when authorised capital is up to ₹15 lakh, and Delhi stamp duty is payable on the MoA and AoA according to capital. DSC charges and professional fees sit on top.
| Cost item | What we found | Confidence |
|---|---|---|
| MCA filing fee, capital up to ₹15 lakh | ₹0, as reported for small companies | Secondary source; confirm on the challan |
| Delhi stamp duty | Depends on authorised capital | Shown in the MCA fee calculation |
| DSC for the member | Set by the certifying agency | Varies |
| Professional packages | Advertised from about ₹999 plus government fees | Online platforms, October 2026 |
| All-in estimates | One large platform estimates ₹5,000 to ₹15,000 | Platform's own estimate |

OPC vs private limited company vs LLP: which fits a single founder?
For a single founder, the OPC is the only company form that needs no second person as owner; an LLP needs two designated partners, and a private limited company needs two shareholders. If you can bring in a trusted co-owner and may raise funds, the private limited route is more flexible.
| Point | OPC | Private limited | LLP |
|---|---|---|---|
| Owners at start | One member plus nominee | Two or more shareholders | Two or more partners |
| Outside equity | Not while it is an OPC | Yes | No shares |
| Statutory audit | Yes | Yes | Depends on contribution and turnover |
| Startup India eligibility | Check current DPIIT rules | Yes | Yes |

What compliance does an OPC have after registration?
After incorporation an OPC keeps books, gets its accounts audited, files financial statements and an annual return with ROC Delhi, and keeps director KYC current. Some meeting requirements are relaxed for OPCs, but the filing calendar is still real and late fees apply per day.
Director KYC changed in 2026: under G.S.R. 943(E), the DIR-3 KYC filing is now due once every three financial years by 30 June, with an event-based update if contact details change (ICAI summary). An OPC director who has never filed it should check the status of the DIN before the next window. Our annual ROC compliance service and bookkeeping service cover the rest.

Frequently asked questions
Is OPC registration in Delhi different from other states?
The MCA process is the same across India. The Delhi-specific parts are the stamp duty rate applied to your MoA and AoA, and the fact that your company will report to ROC Delhi for life. The registered office address in Delhi decides that jurisdiction.
Can the nominee be changed after incorporation?
Yes. The member can replace the nominee by filing the change with the Registrar, and a nominee can also step down by withdrawing consent. In both cases a new nominee must be named so that the OPC always has one on record.
Can an OPC have more than one director?
Yes. The OPC has one member, but the board can include additional directors. Many founders add a family member or a senior employee as a second director so that cheques, banking and filings do not stop when the owner is travelling.
Can an OPC later become a private limited company?
Yes. An OPC can convert into a private limited company by adding members and filing the conversion with ROC. Founders usually do this when an investor or co-founder joins. Plan for fresh shareholding papers and an updated bank mandate.
Does an OPC need GST registration?
Only when the business crosses the GST threshold or falls in a category that must register regardless of turnover. In Delhi the threshold is ₹40 lakh for goods and ₹20 lakh for services. You can apply in AGILE-PRO-S at incorporation or later on the GST portal.
Is opc registration possible online without visiting any office?
Yes. Every step, from DSC to the certificate of incorporation, happens online. Identity checks for DSCs use video or Aadhaar based verification, and MCA emails the certificate. You only meet your filing professional if you want to.
How long does OPC registration take?
Usually about the same as a private limited company: roughly 7 to 10 working days in published guides, if the name is approved on the first attempt. Delays mostly come from name objections or a missing nominee consent.
Can an NRI register a one person company in India?
Rules on who may be the sole member of an OPC, including residency conditions, are set by company law and have been changed over the years. Check the current position before filing. Greenwolf Advisors, one of the listed firms, works with NRI and overseas founders and can confirm whether an OPC or a private limited company suits your situation.
Can I run a proprietorship and an OPC at the same time?
Yes, nothing stops you from keeping an existing proprietorship while you form an OPC, but the two are separate taxpayers with separate books, bank accounts and GST registrations if needed. Many owners move the business into the OPC over a few months and then close the proprietorship's GST number.
Is an audit required for an OPC with low turnover?
Yes. As a company, an OPC must have its annual financial statements audited by a practising chartered accountant, whatever its turnover. Budget for this yearly cost when choosing between an OPC and a proprietorship.
