Quick answer
How do you close a private limited company in India?
Company closure is usually done by applying to the Registrar of Companies to strike the name off, once the company has stopped business, cleared its liabilities and brought its filings up to date. Companies with assets or creditors to settle go through a formal winding up instead. Simply abandoning a company does not close it.
- Stopping business does not close a company
- Strike off suits companies with no assets or debts
- Winding up suits companies with assets or creditors
- Pending ROC and tax filings come first
- Conversion to LLP keeps the business but changes its form
What is company closure and when should you consider it?
Company closure means removing the company from the register maintained by the Registrar of Companies, so it ceases to exist as a legal entity. Consider it when the business has stopped, there is no plan to restart, and the cost of yearly audits and filings is running with nothing coming in.
Founders in Delhi usually reach this point after one of these:
- A start-up that never found traction and has been idle for a year or more.
- A company formed for one contract or project that has ended.
- A family business restructured into a different entity, leaving an old company unused.
- A partner exit where the remaining owner prefers a proprietorship or an LLP.
A dormant company still needs its audit, AOC-4, MGT-7 and income tax return every year. Our ROC compliance page shows that annual load in detail, which is the cost closure removes.
What are the options for company closure?
There are three main routes, plus one alternative that keeps the business alive. The right one depends on whether the company still holds assets, owes money to anyone, or has an ongoing business the owners want to keep.
| Option | Suits | What happens | Effort |
|---|---|---|---|
| Voluntary strike off | Companies that stopped business and have no assets or liabilities | Company applies to the ROC to remove its name from the register | Lowest of the formal routes |
| Voluntary winding up | Solvent companies with assets to distribute or contracts to settle | A liquidator realises assets, pays creditors and distributes the balance | Higher: formal process with a professional in charge |
| Strike off by the ROC | Companies that stopped filing for a long period | The Registrar removes the name on its own after notice | Not a plan: directors can face consequences |
| Convert to LLP | Owners who want to keep the business with lighter company-law compliance | The company becomes an LLP; the business continues | Moderate: conditions must be met |

How do you strike off a company: step by step?
To strike off a company, it must first stop business, settle what it owes, close its bank account and bring its filings up to date. Then the directors pass the required resolutions and the company applies to the ROC, which publishes a notice before removing the name.
- 1
Review the record
We pull the MCA master data and list every pending annual form, director KYC status and charge registered against the company.
- 2
Stop business and settle
The company stops trading, collects what it is owed and pays creditors, staff and government dues.
- 3
Close registrations
GST registration is cancelled, final GST and TDS returns are filed, and other licences are surrendered.
- 4
Final accounts and tax
Accounts are prepared up to the closure date and the last income tax return is filed.
- 5
Close the bank account
Once all payments clear, the company's bank account is closed and the closure letter kept.
- 6
Resolutions and application
The board and shareholders approve the strike off, directors sign indemnities and affidavits, and the application goes to the ROC.
- 7
ROC notice and removal
The ROC publishes a public notice; if no objection arises, the name is struck off and the company dissolved.
What must be cleared before a company can close?
Before closure, a company should have no pending ROC filings, no unpaid tax or GST, a cancelled GST registration, no open bank account, no outstanding loans or charges, and settled dues to employees and suppliers. Anything left open can block the application or come back to the directors later.
| Area | What to clear | Where it is done |
|---|---|---|
| ROC filings | Pending AOC-4, MGT-7 and event forms | MCA portal |

| GST | Final returns filed, registration cancelled | GST portal |
| TDS | Last quarterly returns filed, challans matched | Income tax and TRACES portals |
| Income tax | Final return filed for the closing period | Income tax portal |
| Bank | Account closed, closure letter obtained | Company's bank |
| Loans and charges | Repaid and satisfied on record | Lender and MCA portal |
| Staff | Salaries, PF and ESI dues settled | Employer portals |

Can you convert a private limited company to an LLP?
Yes, a private limited company can convert into an LLP under the LLP Act if it meets the conditions set out there, which include the company's shareholders becoming the LLP's partners. Conversion is not closure: the business, its assets and its liabilities carry on in the LLP.
Owners choose conversion when the company structure no longer earns its keep. An LLP files Form 11 and Form 8 each year rather than the company forms, and needs no AGM. It also gives up things a company offers, such as issuing shares to outside investors. Before deciding, compare the structures in our guide to private limited vs LLP vs OPC.
Tax treatment of a conversion depends on conditions in the income tax law, and an unplanned conversion can create a tax cost. Get the tax position reviewed before filing.
What happens if you abandon a company without closing it?
An abandoned company keeps accruing obligations. Its annual forms fall due every year, late fees build on each missed form (reported by compliance sites at ₹100 per day per form; check MCA for the current rule), and the ROC can eventually strike it off on its own after notice, which can affect the directors.
The other risk is personal. Directors' DINs can be deactivated if their KYC lapses, and a director linked to a company in long default may find it harder to join or form another company. Closing properly costs less than letting it drift.
If your company has years of pending returns, closure usually starts by filing that backlog. We compare the cost of catching up and closing with the cost of catching up and continuing, so you can decide with both numbers in front of you.
How does closing an LLP differ from company closure?
An LLP that has stopped business can also apply to be struck off, but it follows the LLP Act and its own MCA forms rather than the company procedure. The preparation is similar: file pending Form 8 and Form 11, settle liabilities, cancel GST and close the bank account.
LLP partners should also check the LLP agreement, which may set out how assets are distributed and how a partner's exit is handled. Late Form 8 or Form 11 filings carry additional fees, and sources conflict on how they are calculated, so clear them first. Our page on LLP registration explains the annual LLP forms.

Frequently asked questions
How do I strike off a company that has no business?
Bring all pending ROC and tax filings up to date, settle any dues, cancel GST, close the bank account, and then apply to the ROC for strike off with board and shareholder approval and director declarations. The ROC publishes a notice and, if nobody objects, removes the company's name from the register.
Can a company be closed if annual returns are pending?
In practice, pending annual returns are filed before a strike off application, because the ROC expects the record to be complete. That includes the late fees on each form. We first list every missing form and its likely cost, then file the backlog in order before preparing the closure application.
What is the difference between strike off and winding up?
Strike off is a simpler route for a company that has stopped business and has no assets or liabilities left. Winding up is a formal process in which a liquidator takes charge, sells assets, pays creditors and distributes anything left to shareholders. Companies with property, receivables or creditors usually need winding up.
How do I convert a private limited company to an LLP?
Check that the company meets the conditions in the LLP Act, including that its shareholders will become partners. Then draft an LLP agreement, obtain any creditor consents needed, and file the conversion with MCA. Review the income tax conditions first, because a conversion that does not meet them can trigger tax.
Is closing a company better than keeping it dormant?
If there is no realistic plan to restart, closing is usually better, because a dormant company still needs an audit, annual ROC forms and an income tax return every year. If you may restart within a year or two, or the company holds a licence or contract worth keeping, staying compliant can make sense.
Do I need to cancel GST before closing a company?
Yes. File the final GST returns and apply to cancel the GST registration before the company closes, otherwise the registration stays live and returns keep falling due. Our page on GST notice reply and cancellation covers how cancellation works on the portal.
Can the ROC close my company without my application?
Yes. The Registrar can strike off a company that has not been carrying on business or has stopped filing, after giving notice. This is not a substitute for proper closure: directors of such companies can face consequences, and restoring a struck-off company later is far harder than closing it properly.
What happens to the company's bank account during closure?
The account stays open until every receipt is collected and every payment, including tax and final salaries, has cleared. It is then closed and the bank's closure letter is kept as evidence. A strike off application normally comes after the account is closed.
How long does company closure take?
It depends on how many filings are pending and how quickly dues and the bank account can be cleared. The ROC stage also includes a public notice period. After reviewing your MCA record, we give a written plan with each stage in order and a fixed quote for the work.
