What proof is needed for a registered office in Delhi?

For a registered office in Delhi you need a recent utility bill for the premises and proof of the right to use it: a sale deed or property papers if owned, or a rent agreement plus the owner's no-objection certificate if rented. Family-owned property needs the owner's NOC too.

Do you need a DSC and DIN before registering a company?

You need a digital signature certificate before filing, because SPICe+ and its linked forms are signed digitally by the proposed directors and subscribers. You do not need a DIN in advance: SPICe+ allots DINs to first directors who do not already have one, along with the company's PAN and TAN.

Points that save time:

  • Order DSCs early. Each one is issued after the holder's own video or document verification, so it cannot be done on someone's behalf.
  • Existing DIN holders: check the DIN is active. From 31 March 2026 director KYC is due once every three financial years by 30 June, and a lapsed KYC can deactivate the DIN. See our DIR-3 KYC page.
  • Foreign directors also need a DSC, issued against their passport.

What goes into SPICe+ and what are the government fees?

SPICe+ is a single integrated web form: Part A reserves the name, and Part B covers incorporation, DIN, PAN and TAN with one challan. It links to e-MoA, e-AoA and AGILE-PRO-S. Through AGILE-PRO-S, EPFO, ESIC, a bank account and professional tax registration are mandatory; GSTIN and Shops and Establishment are optional.

What document mistakes delay company registration?

Most delays come from mismatched names, old utility bills and unsigned or missing NOCs. MCA compares details across PAN, Aadhaar and the forms, so small differences in spelling or date of birth can lead to a resubmission request.

  1. Name mismatch: a middle name on PAN but not on Aadhaar. Fix the record first.
  2. Stale address proof: a bill several months old for either the director or the office.
  3. Bill in a different name with no link: the utility bill must connect to the person giving the NOC.
  4. Inactive mobile on Aadhaar: OTP-based steps fail.
  5. Unattested foreign documents: papers signed abroad without the required attestation.
  6. Weak business activity text: a vague object clause in the MoA that later needs amending.

Frequently asked questions

Is a rent agreement enough as registered office proof?

Usually not on its own. Along with the rent agreement, MCA filings typically need a recent utility bill for the premises and a no-objection certificate from the landlord. The bill should be in the owner's name or otherwise linked to the person giving the NOC.

Can my home address in Delhi be the registered office?

Yes. Many small companies use a director's home as the registered office. Attach a recent utility bill and proof of ownership or tenancy, and an NOC from the owner, even if the owner is the director or a family member. Keep in mind that MCA and tax notices will come to that address.

Do shareholders who are not directors need to give documents?

Yes. Every subscriber to the memorandum, whether or not they become a director, provides PAN, identity and address proof, and signs the incorporation documents with a DSC. A corporate shareholder provides its own incorporation documents and a board resolution authorising its representative.

Do I need a DIN before applying for company registration?

No. SPICe+ allots DINs to first directors who do not already have one as part of the incorporation filing. If you already hold a DIN, check that it is active and your KYC is current, because a deactivated DIN must be restored before you can sign.

Are documents for NRI directors different from those for Indian directors?

Yes. NRI and foreign directors use a passport as the main identity proof and an overseas address proof instead of Aadhaar. Documents signed abroad often need notarisation or apostille. They still need a DSC and active mobile and email for OTPs.

Is GST registration part of company registration?

GSTIN is an optional item in AGILE-PRO-S, the form linked to SPICe+. You can apply for it at incorporation or separately later. EPFO, ESIC, the bank account and professional tax are mandatory items in AGILE-PRO-S.

How recent must a utility bill be?

Use the latest bill available. MCA expects recent address proof, and older bills are a common reason for resubmission requests. Check the current SPICe+ instruction kit on the MCA portal for the exact limit before you file.

Can I get my documents checked before filing?

Yes. Send scans by email or WhatsApp, or bring originals to our Netaji Subhash Place office. We check spellings, dates of birth, address proof dates and NOCs against the forms, and send one list of fixes. You then receive a fixed quote for the full registration.
