How to Register a Freelance Business in India

You can run a freelance business in India without registering any company: a PAN, a bank account and an income tax return are the legal minimum. Registration becomes necessary when GST applies, when clients want a business name on invoices, or when you hire or raise money. This guide compares the options, explains the ₹20 lakh GST threshold, export of services and LUT, and lists the steps for 2026.

Quick answer

Do freelancers need to register a business in India?

Not always. A freelance business can run as an individual with only a PAN and bank account, paying tax through the income tax return. GST registration is required once aggregate turnover in a financial year crosses ₹20 lakh for services. Many freelancers later set up a proprietorship, OPC or LLP for credibility or liability reasons.

  • Minimum: PAN, bank account, annual ITR
  • GST for services: above ₹20 lakh turnover in a year
  • Exports of services count towards that turnover
  • Foreign clients: LUT lets you bill without IGST

Do you need to register a freelance business in India?

No single law makes a freelancer register a business before starting. You can earn as an individual, receive payments into your savings account and declare the income in your income tax return. Registration duties arise from specific triggers such as GST turnover, local shop laws or hiring staff.

That said, "no registration" has costs. Some clients and platforms pay only to a business bank account. Payment gateways ask for business proof. A current account usually needs a registration document such as a GST certificate or Udyam certificate. And as income grows, you may want liability protection or a structure that lets you bring in a partner.

The questions to ask are simple: How much will you bill in a year? Are your clients in India or abroad? Do you want to hire people or take investment? The answers point to the structure below.

Which structure suits a freelance business?

Most freelancers start as individuals or proprietors, move to an OPC when they want a company with one owner, and choose an LLP when two or more professionals work together. The table compares the four common options.

When does a freelancer need GST registration?

A freelancer supplying services must register for GST when aggregate turnover in a financial year exceeds ₹20 lakh, or ₹10 lakh in special category States. The higher ₹40 lakh limit applies only to suppliers of goods, so it does not help a service freelancer in Delhi.

Aggregate turnover includes all your supplies, including services exported to foreign clients. A designer earning ₹25 lakh a year entirely from clients in the US still crosses the threshold, even though the exports themselves are zero-rated.

You can also register voluntarily below the threshold. Some Indian business clients prefer GST-registered vendors so they can claim input tax credit. Registration steps, documents and the Delhi jurisdiction are on our GST registration in Delhi page.

Foreign clients: export of services and LUT

Services to a client outside India can count as an export of services, which is zero-rated under GST. A GST-registered freelancer can then bill without charging IGST by filing a Letter of Undertaking (LUT) on the GST portal each financial year, instead of paying IGST and claiming a refund.

An export of services must meet the conditions in section 2(6) of the IGST Act. One of them is that you receive payment in convertible foreign exchange, or in Indian rupees where the RBI permits it; CBIC Circular 202/14/2023-GST explains when rupee receipts through a partner country's bank qualify. Supplies to your own branch abroad are treated differently.

The LUT is filed online in Form GST RFD-11 and is generally renewed for every financial year before your first export invoice of that year. Our LUT filing page walks through the steps and the documents.

The export conditions and LUT details come from CBIC circulars (for example Circular 202/14/2023) and published GST guides. Check the GST portal for the current form and dates.

How is a freelance business taxed?

A freelancer working as an individual or proprietor pays income tax on profit at the slab rates of the regime chosen, files an ITR every year, and pays advance tax during the year when tax due is significant. An OPC or LLP pays tax as a separate entity.

Many professionals use the presumptive scheme in section 44ADA of the 1961 Act, under which 50 percent of gross receipts is treated as income. As reported by tax publishers, it is available for specified professions with receipts up to ₹50 lakh, or ₹75 lakh where cash receipts are within 5 percent. Whether your work counts as a specified profession is a question to settle with a CA before filing.

For FY 2025-26 (AY 2026-27) returns, the Income-tax Act, 1961 still applies. The Income-tax Act, 2025 applies from tax year 2026-27, so check with your adviser how its provisions apply to your income from April 2026. Our ITR filing page lists due dates and documents, and the advance tax due dates guide shows the instalments.

How should a freelancer invoice clients?

Every freelance invoice should carry your name or business name, PAN or GSTIN, the client's details, a unique invoice number and date, a clear description of the work, the amount and currency, and payment details. GST-registered freelancers must also follow GST invoice rules.

  • Indian clients: show GST separately if you are registered, and check whether the client will deduct TDS so your receipts match Form 26AS.
  • Foreign clients: state the currency, mention "supply meant for export under LUT without payment of IGST" with your LUT reference if registered, and keep the contract or email that shows the client is abroad.
  • Platforms: download the platform's statements every month, since fees are deducted before money reaches you.

Keep invoices in one numbering series per financial year. It makes your ITR, GST returns and any later audit much easier.

How do freelancers receive foreign payments correctly?

Receive foreign payments through a bank or a regulated payment service into an Indian account, choose a purpose code that matches your service when the bank asks, and keep the bank's proof of inward remittance for each payment. These records support both the export claim and your income in the ITR.

Banks classify each inward remittance using RBI purpose codes, for example separate codes for software services and for business consulting. Picking the wrong code can make your receipts look like gifts or family transfers. Banks and payment services usually issue an advice for each credit, often called FIRA or FIRC; ask for it if it is not sent automatically.

Purpose code and FIRA details vary by bank and come from bank and payment-provider guides, not a single official page we could verify. Check with your bank.

How to register a freelance business: step by step

Most solo freelancers in Delhi can follow this order. Skip the steps that do not apply yet, and revisit the plan when your annual billing approaches ₹20 lakh.

  1. 1

    Decide the structure

Stay as an individual, set up a proprietorship, or form an OPC or LLP based on billing, risk and partners.

  2. 2

    Get registration proof

For a proprietorship, use GST, Udyam or shop registration as proof. For an OPC or LLP, incorporate with the MCA.

  3. 3

    Open a separate bank account

Keep business receipts and expenses apart from personal spending from day one.

  4. 4

    Register for GST when due

Apply once aggregate turnover will cross ₹20 lakh, or earlier if your clients need GST invoices.

  5. 5

    File the LUT for exports

If you are GST-registered and bill foreign clients, file the LUT for the financial year before the first export invoice.

  6. 6

    Register on Udyam if useful

Free on udyamregistration.gov.in; it can help with bank accounts and MSME benefits.

  7. 7

    Keep books and file returns

Maintain invoices, bank statements and expenses, pay advance tax, and file GST returns and the ITR on time.

Common mistakes freelancers make

The most expensive mistake is ignoring GST because the clients are abroad. Exports still count towards the ₹20 lakh threshold, and crossing it without registering creates tax, interest and penalty exposure on past invoices.

  • Mixing personal and business money in one account, which makes expenses hard to prove.
  • Not filing an LUT and then being unsure whether IGST was due on export invoices.
  • Choosing the wrong purpose code, so foreign receipts are reported as something else.
  • Missing advance tax because income arrives in a few large payments.
  • Forming a company too early and then carrying ROC and audit costs on small revenue.

A proprietorship is often enough for the first years; see our sole proprietorship in Delhi page. When you want a company with one owner, the one person company registration page explains the process, and LLP registration covers working with partners. Udyam details are on the MSME registration page.

Frequently asked questions

Is registration mandatory for freelancers in India?

No general registration is mandatory just to freelance. You need a PAN and must file an ITR when your income requires it. GST registration becomes mandatory once aggregate turnover crosses ₹20 lakh in a financial year for services, or ₹10 lakh in special category States.

Do freelancers with only foreign clients need GST?

Yes, once aggregate turnover crosses ₹20 lakh in the year, because exports of services count in aggregate turnover. After registering, you can file an LUT and invoice foreign clients without charging IGST, provided the export conditions in the IGST Act are met.

What is the best business structure for a freelancer?

For one person billing modest amounts, an individual or sole proprietorship is the simplest. An OPC gives limited liability with one owner but brings ROC filings and audit. An LLP suits two or more professionals working together. Choose based on income, risk and future plans, not on looks.

Can a freelancer get Udyam registration?

Yes. Udyam is open to proprietorships, partnership firms, LLPs and companies providing services as well as manufacturing. It is free on udyamregistration.gov.in and needs Aadhaar to begin, with PAN details. Some banks accept it as business proof for a current account.

Which ITR does a freelancer file?

A freelancer with business or professional income usually files ITR-3, or ITR-4 if eligible for and opting into presumptive taxation. The right form depends on your income sources and choices for the year, so check before filing. For AY 2026-27, the 1961 Act forms and due dates apply.

Is a current account required for a freelance business?

No law requires it for an individual, but a separate account makes books and tax filing cleaner, and some clients or payment services ask for one. Banks usually want a business proof such as a GST or Udyam certificate to open a current account in a proprietorship's name.

How do I do compliance for freelancers each year?

Keep invoices and bank statements, pay advance tax instalments, file GST returns monthly or quarterly if registered, renew your LUT every financial year if you export, and file the ITR by the due date. An OPC or LLP adds MCA annual filings.

Can a CA in Delhi set up my freelance business?

Yes. CA and compliance firms handle proprietorship proofs, GST, LUT, OPC or LLP incorporation and yearly filings. Our listed firms near Netaji Subhash Place cover these services; you get a written quote for the work before anything starts.
